These Plan and In-Market Data Terms (the “Plan Terms”) are part of the agreement between SAM AI, Inc. (“Sam.ai,” “we,” “us”) and the customer that signs up for or uses a Sam.ai package (“Customer,” “you”). They supplement the Sam.ai Terms of Service (version 2.0, August 4, 2026), which remain in full force. Capitalized terms not defined here have the meanings given in the Terms of Service.
These Plan Terms govern the packages, in-market data, exclusivity, AI-drafted content, and related features described on our website, including our pricing page. If these Plan Terms conflict with the Terms of Service on those subjects, these Plan Terms control. An Order Form signed by both parties controls over both. Everything else in the Terms of Service continues to apply, including the warranty disclaimers, indemnification, limitation of liability, and the arbitration agreement and class action waiver.
By creating an account, starting a free trial, signing up for a package, or using the Service, you agree to these Plan Terms.
1. Definitions
1.1 Package. Ideal Clients (Agent Sam + Ideal Clients), In-Market (Agent Sam + Ideal Clients + In-Market), or Enterprise (Agent Sam + In-Market Enterprise), with the features and allotments shown at the time of purchase or in an Order Form.
1.2 Market. One service in one city or metropolitan area, as selected in your account or Order Form, for example tenant representation in Manhattan. Services and cities are interchangeable: four services in one city are four Markets, and one service in four cities are four Markets. Sam.ai determines the boundaries of a city or metropolitan area and the definition of a service, and may decline a Market that is defined too broadly.
1.3 In-Market Data. Companies that Sam.ai identifies as most likely in the market for the service in a Market, together with the decision-makers, reasons, scores, labels, and other information delivered with them.
1.4 In-Market Company. A company delivered to you as part of In-Market Data for a Market.
1.5 Delivery Date. The date an In-Market Company is first made available to you in your account for a Market.
1.6 Likely In-Market Score. A number, rank, or label, such as “most likely in-market,” “reach out now,” “run awareness,” or “keep warm,” that expresses Sam.ai’s estimate of likelihood.
1.7 Ideal Client Data. Contacts and companies that match the ideal client persona you set.
1.8 Agent Sam. The AI features of the Service that draft outreach, follow-ups, and other content and organize who to call.
1.9 AI Content. Any content the Service generates using artificial intelligence, including drafts, messages, posts, summaries, research briefs, reasons, scores, call notes, and transcripts.
1.10 Allotment. The monthly quantities in a package, such as contacts unlocked, messages delivered, dialer minutes, CRM capacity, users, Playbooks, Markets, and In-Market Companies.
1.11 Annual Plan and Monthly Plan. An Annual Plan is billed in advance for twelve months. A Monthly Plan is billed in advance each month.
2. In-market data is an estimate, not a guarantee
2.1 Likelihood only. Every in-market determination, including any Likely In-Market Score and any reason shown, is Sam.ai’s estimate of the likelihood that a company may be in the market for a type of service. It is not a statement of fact or a prediction that the company will buy. Sam.ai does not guarantee that any company is in the market for your services, that it will respond, meet, or become your client, or that any decision-maker is still in their role.
2.2 How determinations are made. Determinations combine many data sources, which may include public, licensed, third-party, and proprietary sources, with algorithms, models, and analysis tuned to an industry. The sources, signals, weights, and methods are Sam.ai’s confidential information and trade secrets. They may change at any time, and Sam.ai is not required to disclose them.
2.3 Reasons may be incomplete or wrong. Reasons, signs, timelines, and statements shown with an In-Market Company are summaries. They may be incomplete, out of date, attributed to the wrong person or company, or inaccurate. Statements attributed to people or companies may be paraphrased from public sources. Verify them before you rely on them or repeat them.
2.4 Your judgment. You are solely responsible for verifying In-Market Data and Ideal Client Data before relying on it, and for every decision you make about whom to contact, what to say, and how to do business.
2.5 Quantities are maximums. Every Allotment, including any number shown with “up to,” is a maximum, not a minimum or a guarantee. The number of In-Market Companies can vary from month to month and may be zero in a given month or Market. Sam.ai does not pad a list to reach a number. Fewer results do not entitle you to a refund, credit, or extension.
2.6 Examples and estimates on our website. Sample results, example companies, quotes, scores, timelines, and maps on our website are illustrative, and the companies and details in them are made up. Results from the ROI calculator are estimates based on the numbers you enter. Reported figures, such as “about 71% of prospecting handled” or “4× faster,” describe reported or typical experience. None of these are promises of results for you.
2.7 Not a consumer report. In-Market Data and all other Sam.ai Licensed Data are provided only for business-to-business marketing and prospecting. They are not consumer reports under the Fair Credit Reporting Act or similar laws. You may not use them to decide any individual’s eligibility for credit, insurance, employment, or housing, or for any other purpose covered by those laws, including insurance underwriting or rating and screening, hiring, or placing candidates.
3. Packages, allotments, and add-ons
3.1 Package contents. Your package includes the features and Allotments shown on our pricing page when you buy, or in your Order Form.
3.2 Monthly allotments. Allotments reset at the start of each billing month and do not roll over. Unused amounts expire without refund or credit.
3.3 Adjusting your month and add-ons. You can raise or lower adjustable Allotments from your account. Add-ons are billed at the prices shown when you make the change, and cost the same on Monthly and Annual Plans. Increases take effect right away and are billed for the current period as shown in your account. Decreases take effect at the start of the next billing period.
3.4 Users. Each user is one named person, and logins may not be shared. Ideal Clients includes one user and In-Market includes two. Additional users are billed at the per-user price shown at the time.
3.5 Bonus features. Bonus features, such as email marketing, roundtables and events, the intro generator, contextual content, calendar and scheduling, call intelligence, the voice-conversational CRM, and team reporting, are included at no extra charge. Sam.ai may offer them in limited form, change them, or discontinue them at any time, without a refund or credit. You are responsible for the content of any email, event, or invitation you send or host.
3.6 Scan frequency. “Weekly” and “daily” describe the target frequency of in-market scans. Scans may be delayed by maintenance, data availability, or events outside Sam.ai’s control.
3.7 Agent Sam on or off. On In-Market you may turn Agent Sam off and send lists to your own CRM. Turning Agent Sam off does not change your fees, and exported data remains subject to Section 8 of the Terms of Service.
3.8 Enterprise. Markets, scan frequency, offices, reporting, SSO, billing, and any other terms for Enterprise are set in the Order Form.
4. Billing, renewal, and cancellation for self-serve plans
4.1 Monthly Plans. Monthly Plans are billed in advance each month. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing month, and you keep access until then. Fees already paid are not refunded, including for a partial month.
4.2 Annual Plans. Annual Plans are billed once, in advance, for twelve months at the annual price shown when you buy. Annual fees are non-cancelable and non-refundable, including if you stop using the Service, downgrade, or cancel before the end of the term, except where the law requires otherwise. Your price is locked for that term for the package and Allotments you bought.
4.3 Renewal. Annual Plans bought on our website run to the end of the paid year and do not renew unless you choose to renew. Sam.ai may remind you before the term ends. Plans under an Order Form renew as stated in the Order Form, or, if it is silent, under Section 4 of the Terms of Service.
4.4 Price changes. Sam.ai may change prices, packages, and Allotments for future periods. Changes do not affect a paid Annual Plan during its term. Changes to a Monthly Plan take effect at the next billing month after notice.
4.5 Switching packages. Upgrades take effect right away, and the difference is billed as shown in your account. A downgrade from an Annual Plan takes effect when that term ends. Moving from an Annual Plan to a Monthly Plan ends exclusivity under Section 5 when the annual term ends.
4.6 Free trial and free account. The free trial lasts 14 days and does not require a payment card. The counts and results shown during a trial are estimates and may be limited. Nothing is charged unless you choose a package. Sam.ai may limit, change, or end trials at any time, and allows one trial per company.
5. Exclusive in-market data on Annual Plans
5.1 Who qualifies. Exclusivity applies only to In-Market and Enterprise packages on an Annual Plan that is paid in full and in good standing.
5.2 What is exclusive. For each In-Market Company delivered to you for a Market, for ninety (90) days from its Delivery Date (the “Exclusivity Period”), Sam.ai will not deliver that same company as an In-Market Company to any other Sam.ai customer for the same Market, meaning the same service in the same city or metropolitan area.
5.3 Monthly cap per Market. To make exclusivity possible, each Market receives no more than ten (10) In-Market Companies per month, or the lower number shown in your package. Each Market you hold has its own cap.
5.4 What exclusivity does not cover. Exclusivity is limited to Sam.ai’s delivery of In-Market Data. It does not: (a) stop other customers from finding, contacting, or doing business with the same company or its people through Ideal Client Data, search, their own lists or uploads, their CRM, referrals, or any other source; (b) apply to a different Market, such as a different service or city; (c) apply to the company’s affiliates, other locations, or decision-makers outside the Market, as Sam.ai reasonably determines; (d) keep the company or its people out of Sam.ai’s general database or other customers’ Ideal Client Data; (e) restrict anyone who is not a Sam.ai customer, including your competitors; (f) apply to deliveries made to other customers before your Delivery Date, or to companies you uploaded or already had; or (g) guarantee that no one else will contact the company.
5.5 When exclusivity ends. After the Exclusivity Period, Sam.ai may deliver the same company to other customers. Exclusivity ends early if your Annual Plan ends, is terminated, or is suspended, if fees are overdue, or if you breach the Agreement.
5.6 Market availability. Sam.ai may limit the number of customers in a Market, and may decline a Market, place you on a waitlist, or offer a different Market. Exclusivity applies to each In-Market Company, not to a whole Market, so other customers on Monthly or Annual Plans may hold the same Market.
5.7 Your sole remedy. If Sam.ai does not meet Section 5.2 for an In-Market Company, you must tell us in writing within thirty (30) days of learning of it, with the company and Market involved. Your sole and exclusive remedy, and Sam.ai’s entire liability, is for Sam.ai, at its option, to deliver a replacement In-Market Company for the same Market when one is available, or to give you a service credit equal to that Market’s share of the month’s fees divided by the number of In-Market Companies delivered for that Market that month.
5.8 Ownership and sharing. Exclusivity does not transfer ownership. In-Market Data remains Sam.ai Licensed Data under Section 8 of the Terms of Service. You may not resell, share, or disclose it to anyone outside your organization, including other brokers, producers, agencies, recruiters, or co-brokers, except as the Terms of Service allow.
6. Shared in-market data on Monthly Plans
6.1 No exclusivity. Monthly Plans do not include exclusivity. The same In-Market Company may be delivered to more than one customer in the same Market, at the same time or at different times.
6.2 Spreading deliveries. Sam.ai uses reasonable efforts to spread In-Market Companies across customers in the same Market so that outreach does not pile on, but does not guarantee any distribution, order, or timing, or that two customers will not receive the same company.
6.3 Annual exclusivity comes first. During an Exclusivity Period, the In-Market Company is not delivered to customers on Monthly Plans for the same Market.
7. AI-drafted content and Agent Sam
7.1 Contextual drafts. Agent Sam and other AI features generate drafts and other AI Content from your Playbook, your preferences and edits, and the data available to the Service. AI Content is designed to be contextual and personal to each recipient. AI makes mistakes.
7.2 No guarantee of accuracy. AI Content may contain errors, inaccuracies, omissions, out-of-date information, statements that sound factual but are wrong, an unsuitable tone, or wording similar to content generated for others. Sam.ai does not guarantee that AI Content is accurate, complete, original, free of errors, lawful for your use, or fit for any purpose.
7.3 You review and approve. Nothing is sent until you approve it. Every approval, including batch approvals and any approval rules or automations you set up, is your decision to send. You are solely responsible for AI Content you approve, send, post, or say, as if you had written it yourself, and you must review it for accuracy, claims, and legal compliance before approving it.
7.4 Calls. Agent Sam does not place calls. Every call is placed by you. If you use the dialer, call recording, or transcription, you are responsible for giving any notices and obtaining any consents the law requires, including all-party consent laws, and for complying with telemarketing, do-not-call, and TCPA rules, as described in Section 11 of the Terms of Service.
7.5 Learning from your edits. Sam.ai may use your edits and approvals to improve drafts for your account, consistent with Section 9 of the Terms of Service.
7.6 Industry rules. You are responsible for the laws and professional rules that apply to you, including real estate licensing and advertising rules, insurance producer licensing and marketing rules, and employment and anti-discrimination laws for staffing and recruiting. Sam.ai is not a real estate broker, an insurance producer or agency, a staffing agency, or an employer, and does not provide legal, financial, insurance, or other professional advice.
7.7 No discriminatory targeting. You may not use the Service to target or exclude people based on any characteristic protected by law.
8. General
8.1 Terms of Service still apply. Sections 20 (Warranties and Disclaimers), 21 (Indemnification), 22 (Limitation of Liability), and 23 (Governing Law and Dispute Resolution) of the Terms of Service apply to everything in these Plan Terms. Your indemnification obligations include claims arising from AI Content you approve or send and from your use of In-Market Data.
8.2 Changes. Sam.ai may update these Plan Terms under Section 24 of the Terms of Service. A change that reduces the exclusivity or the locked price of a paid Annual Plan does not apply until that plan’s next term.
8.3 Contact. Questions about these Plan Terms: legal@sam.ai.
